Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MyProspects identity resolution and buyer intent platform, website, and related services (collectively, the "Services") provided by Local Sphere, LLC ("Local Sphere," "MyProspects," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

1. Description of Services

MyProspects provides a SaaS platform for person-level website visitor identity resolution, buyer intent intelligence, audience activation, and marketing analytics. The Services include:

A JavaScript pixel for on-site visitor identification
Access to an identity graph of verified consumer and business profiles
Intent signal data derived from open-web behavioral observation
Audience activation tools and DSP integrations
A dashboard and API for data access and CRM/webhook export

2. Eligibility and Account Registration

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Services. You agree to provide accurate, current, and complete information when registering for an account and to keep this information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

3. Subscriptions and Billing

3.1 Subscription Plans

The Services are offered on a subscription basis, billed monthly or annually depending on your selected plan. Current pricing is available at myprospects.com. A one-time onboarding fee applies at the time of initial setup.

3.2 Free Trial

We offer a 30-day free trial for new customers. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel prior to the trial end date. No credit card is required to start a trial, but billing information must be provided before conversion to a paid plan.

3.3 Payment

By providing payment information, you authorize us to charge the applicable subscription fees on a recurring basis. All fees are in U.S. dollars. Invoices are due upon receipt. Failure to pay may result in suspension or termination of your account.

3.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless otherwise required by applicable law. Month-to-month subscribers are not subject to early termination fees.

3.5 Price Changes

We reserve the right to adjust pricing with at least 30 days' written notice. Continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with applicable laws and regulations, including data protection and privacy laws. You agree not to:

Use the Services to target, profile, or discriminate against individuals based on protected characteristics
Use identified visitor data to engage in harassment, unsolicited communications, or any illegal contact
Deploy the MyProspects pixel on sites or properties you do not own or have authorization to modify
Attempt to reverse-engineer, decompile, or extract source code from the Services
Resell, sublicense, or redistribute the Services or identity data without our prior written consent
Use the Services in a manner that violates any third party's rights, including privacy rights
Circumvent any technical limitations, security controls, or rate limits in the Services

5. Data and Privacy

5.1 Your Data

You retain ownership of any data you submit to the Services ("Customer Data"). By using the Services, you grant us a limited license to process your Customer Data solely to provide and improve the Services as described in our Privacy Policy.

5.2 Identity Data

Identity resolution data provided through the Services is licensed, not sold, to you for use within your own marketing, sales, and recruitment operations. You may not transfer, sell, or share this data with third parties without our express written consent.

5.3 Compliance Obligations

You are solely responsible for ensuring your use of the Services complies with all applicable laws, including GDPR, CCPA, CAN-SPAM, TCPA, and any other applicable data protection or communications regulations. You must maintain a privacy policy on your website that discloses your use of third-party identity resolution tools. We are not responsible for your compliance failures.

6. Intellectual Property

All intellectual property in the Services — including but not limited to software, algorithms, identity graph, platform interfaces, and documentation — is owned exclusively by Local Sphere, LLC or its licensors. Nothing in these Terms grants you ownership of any intellectual property rights in or to the Services.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services ("Confidential Information") and to use such information solely for the purposes of performing obligations or exercising rights under these Terms. Confidential Information does not include information that is publicly available through no fault of the receiving party.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Match rates, resolution percentages, and other performance metrics referenced in our marketing materials represent historical averages and are not guarantees of future performance. Actual results will vary based on your website traffic, industry, and use case.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCAL SPHERE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Local Sphere, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party rights.

11. Suspension and Termination

We reserve the right to suspend or terminate your access to the Services at any time for violation of these Terms, non-payment, or conduct that we determine to be harmful to us, other customers, or third parties. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination — including payment obligations, indemnification, disclaimers, and limitation of liability — shall survive.

12. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated with at least 14 days' notice via email or in-platform notification. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Services before the effective date.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
